“The objects for which the Trust is established are to conserve restore and re-establish trees and in particular broad-leaved trees, plants and all forms of wildlife in the United Kingdom of Great Britain and Northern Ireland and thereby to secure and enhance the enjoyment by the public of the natural environment of those territories.”

Background

The Woodland Trust is a charity registered with the Charity Commission in England and Wales, No 294344, and with the Office of the Scottish Charity Regulatory, No SC038885; and is a non-profit making company limited by guarantee, No 1982873. It has obtained the consent of the Registrar of Companies to be exempt from the requirement to use the word “Limited” in its name.

Organisation

The trustees of the Woodland Trust are the directors of the company and form its Council which is the ultimate governing body. They are appointed by invitation. The trustees retire every three years and may offer themselves for re-appointment. The chairman and the chair of the Finance Committee may normally serve up to 12 years as a trustee, other trustees may normally serve up to nine years.

The day-to-day responsibilities of the Woodland Trust and its subsidiary are delegated by the Council to the Chief Executive, the Principal Officers and the Trust’s staff. The executive staff report back through full Council meetings or committees.

There is one committee:

  • Finance, which also acts as an Audit Committee and a Remuneration Committee

Annual General Meeting (AGM)

The business at the AGM includes the adoption of the accounts, election of directors and appointment of auditors. The AGM is attended by the trustees, who are the company’s members under company law.

Woodland Trust (Enterprises) Limited

Woodland Trust (Enterprises) Limited, Company No 2296645, is a wholly owned subsidiary company of the Woodland Trust and assists it to carry out its work. All profit earned by the company is donated to the Woodland Trust under Gift Aid.

Woodland Trust Farming Limited

Woodland Trust Farming Limited, Company No 6360791, is a wholly owned subsidiary company of the Woodland Trust and undertakes some farming activities.
